Michael Peregrine wrote this bylined article explaining how governance effectiveness at any company will benefit from expanded board of directors interaction with the general counsel through opportunities for the GCs to share perspectives on a broader range of issues that do, or ought to, matter to the board. Such involvement “is intended to recognize that the general counsel also reports to the board; that the board is entitled to rely on the advice of its general counsel; and that the board has governance oversight responsibility with respect to the office of the general counsel,” Mr. Peregrine wrote.
