Overview
Giancarlo focuses his practice in structured finance, particularly with regard to property and acquisition finance, where he mainly assists lenders in both domestic and cross-border transactions. His extensive client base consists of the foremost Italian banks, such as Intesa Sanpaolo S.p.A and UniCredit S.p.A, and investors whom he has assisted and advised in complex restructurings and in the sale of distressed debt portfolios.
Giancarlo is the managing partner for the Firm’s Milan office.
Results
- Advised a pool of Italian banks in connection with two mortgage term loan facilities, for an aggregate amount approximately equal to Euro 180 million granted with the aim of supporting the enhancement and refurbishment project of the real estate portfolio located at Lido di Venezia, with a specific focus on the historic Hotel Excelsior and Hotel Des Bains, owned by an alternative investment fund managed a primary operator on the Italian market, also through the involvement of one of the largest privately held property companies in Europe, acting in its first investment transaction within the Italian market*
- Advised a pool of Italian and international banks in connection with two mortgage term loan facilities, for an aggregate amount approximately equal to Euro 1 billion granted in favour of two Italian real estate alternative investment funds, both managed by a primary operator on the Italian market and owners of two leading real estate innovative portfolios located in the Porta Nuova area of Milan, which has been subject to one of the largest urban requalification projects in Europe over the past years*
- Advised a pool of Italian and international banks in connection with a mortgage term loan facility, for an aggregate amount equal to Euro 255 billion granted in favour of an Italian real estate alternative investment fund managed by a primary operator of the Italian market and listed to the Investment Vehicles Market organized by Borsa Italiana*
- Advised a pool of Italian and international banks in connection with a Euro 216.275 million term loan facility, aimed at supporting the acquisition by an important SIIQ of the Vodafone Towers in Milan being the Vodafone’s headquarter for Southern Europe and at the leveraging of a real estate portfolio, composed of more than 90 assets leased to an International credit institution*
- Advised a primary Italian credit institution in connection with a term loan facility granted in favour of an Italian alternative investment fund managed by an independent London-based real estate investment management boutique, leader in the European marketplace*
- Medium-long term facility granted by a pool of Italian and international banks for an aggregate maximum amount equal to Euro 275 million in favour of an holding company of a leading listed Italian corporation, to support its financial needs connected to the ordinary course of business, also in the context of an extraordinary transaction aimed at the reorganization of the shareholdings, through the participation of a new institutional investor*
- Advised a primary Italian credit institution on a term loan facility provided (in pool with another bank) to a company belonging to a touristic group to support part of its financial needs connected to the acquisition of three high level resorts located in Ostuni, Pila and Marilleva (Italy)*
- Advised an Italian credit institution in connection with a Euro 93 million mortgage term loan facility granted to an Italian real estate alternative investment fund managed by a primary Italian operator and owner of a real estate portfolio entirely leased to a leading company on the telecommunication market*
- Advised a leading company operating on the Italian market of distressed assets, with respect to a facility granted by a primary Italian credit institution, aimed at supporting the financial needs of the company in the context of the private acquisition of the controlling interest of a corporation listed on the MTA market segment of Borsa Italiana and the subsequent public tender offer*
- Advised a primary International bank in connection with the Euro 110 million mortgage term loan facility with reference to an important shopping center located in the central part of Italy*
- Advised a pool of lenders (two important Italian credit institutions) in connection with the advance of mortgage medium long term credit facilities for an overall amount exceeding Euro 170 million in favour of a commercial group operating in the large distribution, aimed at supporting its operative financial needs in the context of a real estate contribution to three different sub-funds belonging to a fund managed by a primary International operator*
- Advised a leading Italian bank in connection with the advance of new mortgage credit facilities in the context of the acquisition of the boutique hotel designed by Philippe Starck, located in Venice, Ramo Grassi, named “Palazzina G”, as well as of the rescheduling of the financial indebtedness within the overall framework of a plan approved pursuant to article 67, paragraph 3, d), of the Italian Bankruptcy Law*
- Legal assistance to the financial creditors (a pool of leading Italian banks) in the context of an complex extraordinary transaction aimed at restructuring the financial indebtedness of a leading corporation on the real estate market and listed on the Italian stock exchange as well as its business perspective, also through the spin-off of its real estate investments activities within the overall framework of a plan approved pursuant to article 67, paragraph 3, d), of the Italian Bankruptcy Law*
- Legal assistance to a leading company in the transport industry and to its parent company, in the context of a debt restructuring transaction pursuant to Article 182 bis of the Italian Bankruptcy Law and of its dismissal procedure to a new investor*
- Legal assistance to primary Italian credit institutions in relation to a long term mortgage facility for a maximum amount of Euro 119.690 million granted to the closed-end real estate investment fund managed by a leading operator on the Italian market, aimed at supporting the purchase of an important area located near Rome*
