Overview
Keith Hagan represents public and private companies in tax matters involving mergers and acquisitions (M&A), development and infrastructure projects, and private equity.
He provides practical tax and commercial advice in taxable and tax-free M&A, reorganizations, and restructurings and advises clients through all stages of a transaction, including structuring, tax due diligence, drafting and negotiating documents, and post-closing integration and indemnification.
Keith also advises clients in cross-border and domestic transactions involving tax incentivized projects related to the energy transition and sustainable infrastructure, including transactions that involve production tax credits and investment tax credits.
He has broad experience advising clients on other tax incentivized transactions and structures, including qualified opportunity funds and qualified small business stock. He has counseled joint ventures, public and private companies, real estate investment trusts, private equity funds and venture capital funds, both on- and off-shore, in all manner of issues arising under Subchapters K and C.
Outside of the Firm, Keith serves as adjunct professor of Inbound International Taxation and Corporate Reorganizations in the University of Miami School of Law’s Graduate Tax Program.

- Advised a wind developer in the financing of 300 MW, 200 MW, and 1000 MW wind projects in Oklahoma eligible for production tax credits.
- Advised a tax equity investor in the financing of a 180 MW wind project in Texas eligible for production tax credits.
- Represented a developer in the privatization of a community-owned utility’s nuclear project financed with Build America Bonds in Florida eligible for production tax credits.
- Advised a $300mm qualified opportunity fund investing in healthcare practice management.
- Advised a $500mm qualified opportunity fund investing as venture capital incubator for start-ups.
