Overview
Brian Hoffmann focuses his practice on complex corporate matters, including hostile takeovers, proxy fights, sales and divestitures, cross-border transactions, management and leveraged buyouts, acquisitions of distressed companies (both inside and outside of bankruptcy proceedings), and domestic and international capital markets fundraising activities. He has represented acquirers, targets, financial advisors, board of directors, special committees and other parties across numerous industry sectors, including technology, consumer goods, energy, health care, life sciences, media and telecommunications.
Brian lectures frequently at industry conferences and programs, and publishes articles on issues relating to mergers and acquisitions.
He is also a member of our legal cannabis industry group. Our Cannabis Industry group is a multidisciplinary team of lawyers providing clients with regulatory, litigation, intellectual property, trade and tax services with respect to their investments and participation in the cannabis industry, all subject to the Firm’s obligations under federal and state laws and bar licensure rules.

- Represented a private equity investment group in its $1.6 billion acquisition of Tommy Hilfiger Corporation
- Represented one of the world’s leading companies in the health care and medical products industry with its acquisition of Sagmel, Inc., and an unsuccessful acquisition of a multibillion-dollar consumer health business
- Represented a Fortune 500 technology company in the financial payments industry with its acquisition of a mobile technology company
- Advised a mobile communications company in two public merger and acquisition (M&A) transactions, one private M&A transaction (with aggregate values of over $20 billion) and several securities offerings, including $100 million in Senior Subordinated Discount Notes to AT&T Wireless, $450 million in Senior Subordinated Notes, and $210 million in Senior Subordinated Discount Notes to Lucent Technologies
- Represented an investment bank in its acquisition of a majority of equity of Orion Refining Corporation and a subsequent pre-arranged 363 sale in bankruptcy
- Represented Lenovo in its acquisition of IBM’S personal computer business
