Jason D. Kramer* focuses his practice on mergers and acquisitions and private equity transactions. He advises strategic and private equity buyers and sellers on complex transactions across a wide range of industries, including technology, pharmaceuticals, consumer products, construction materials and manufacturing. He also regularly counsels clients in connection with corporate governance matters.

- Represented a global leader in the digital product market in its acquisition of one of the biggest US-based online education companies, for a combination of cash and stock consideration via a series of transactions including two mergers, additional equity investments by the client’s existing investors, and a rollover of certain equity into our client’s shares by management and key investors (Technology)*
- Advised a global pharmaceutical company in its acquisition of a clinical-stage biopharmaceutical company focusing on multiple indications in neurology and psychiatry, for a combination of upfront cash consideration and additional consideration payable upon development and sales milestones (Pharmaceuticals)*
- Advised a global private equity investor in its acquisition of a 51% stake in Argentina’s leading payments company from a group of 14 Argentinian banks and Visa International (Financial Technology)*
- Acted as US counsel for a European-based retail chain in the buyout of its US joint venture partner with respect to its retail stores in Massachusetts and Connecticut operated as a franchise arrangement (Retail)*
- Advised a French multinational technology company in the acquisition of certain assets used in connection with a new metal payment card suitable for contactless payments (Financial Technology)*
- Advised a Dutch private equity firm in its acquisition of a cream liqueur manufacturer (Manufacturing)*
- Advised a multinational specialty chemical company on its acquisition of a leading mortar manufacturer from a British private equity firm for USD 2.55 billion (Manufacturing/Construction Materials)*
- Advised an award-winning global tax services and software provider in connection with the sale of a minority interest to a private equity fund (Professional Services/Software)*
- Represented a multinational consumer goods company in its acquisition of a beauty & personal care company specializing in natural deodorants, soaps and toothpastes (Consumer Products)*
- Represented multinational specialty chemical company in its acquisition of a producer of specialty building products, including expansion joint covers, and sealants for the built environment (Manufacturing/Construction Materials)*
- Represented a multinational consumer goods company in its acquisition of a specialty ketchup company (Consumer Products)*
- Advised a global leader in data analytics on the carve-out of one of its two global business units as a precursor to a potential sale to a third-party buyer (Technology)*
- Advised a home essentials company on the carve-out of its global battery division prior to the sale of such division to a world leading batter manufacturer for USD 2 billion (Manufacturing)*
