Overview
Jay D. Kreismann focuses his practice on private equity funds, real estate investment trusts (REITs), sovereign wealth funds, institutional capital partners, sponsor operators and developers in the structuring of commercial real estate transactions. Jay has experience drafting and negotiating joint venture agreements, contemplating preferred equity investments and platform arrangements, as well as other equity documents, including property and asset management agreements, development agreements and contribution agreements. He also manages corporate compliance and tax structuring issues.
Jay represents purchasers, borrowers and sellers in acquisitions, financings and dispositions of single asset and largescale multi-state portfolio commercial projects, including office buildings, shopping centers, hotels, multi-family residential projects, condominium properties, self-storage facilities and mobile home communities, throughout the United States, the Caribbean and Central America, Europe and Asia. Jay also represents major financial institutions in commercial real estate financing transactions secured by single-asset and multi-state portfolios, including shopping centers, office buildings, hotels and multi-family residential projects throughout the United States. He originates securitized mortgage loans and mezzanine loans, and represents financial institutions in connection with secondary market transactions, loan purchases and sales and securitizations.
