Overview
Rob Lamkin represents energy trading firms, electric power generators, renewables project developers and other energy industry participants in energy trading and energy regulatory matters, including matters relating to compliance with CFTC regulation of swaps under the Dodd-Frank Act.
Rob regularly represents clients in a variety of wholesale and retail energy trading matters, including negotiation of structured physical and financial hedging and other structured energy transactions utilizing bespoke contract forms as well as industry standard energy trading documentation (International Swaps and Derivatives Association (ISDA), Edison Electric Institute (EEI), North American Energy Standards Board (NAESB) and Western System Power Pool (WSPP) master agreements). Rob also regularly advises clients on energy management agreements, asset management agreements and other agreements related to power production and energy trading.
Rob also provides legal counsel to clients in a variety of federal and state regulatory matters, including issues arising under the Federal Power Act, the Public Utility Holding Company Act, the Public Utility Regulatory Policies Act and the Commodity Exchange Act as amended by the Title VII of the Dodd-Frank Wall Street Reform and Consumer Protection Act.
Results
- Represented an energy trading and marketing entity in negotiating structured energy trading transactions, including lien-based credit structures and complex hedging arrangements including heat rate call option and revenue put option transactions
- Represented wind farm developer in negotiation of proxy revenue and proxy generation swap transactions and negotiation of lien-based structure in connection with same
- Represented a power producer in the development and negotiation of an energy management agreement governing a significant number of electric generation facilities
- Negotiated a power purchase agreement and related agreements to enable a consumer products company to purchase all of its energy needs from green power sources
- Negotiation of retail electric and natural gas contracts and development of form master agreements in connection with same
- Advise clients on a variety of matters relating to wholesale and retail electric and natural gas issues
- Served as in-house counsel for the energy trading and marketing affiliate of one of the largest privately held financial institutions in the world, and focused on a variety of matters, including negotiating all domestic, European and United Kingdom energy trading documentation for electricity, natural gas, weather and derivatives products, and overseeing Federal Energy Regulatory Commission (FERC), energy market, regional transmission organization (RTO) and reliability compliance
- Represented a variety of energy companies and other industry participants on a number of regulatory and transactional matters, including merger and acquisition transactions, electric transmission issues, market-based rate authorizations and compliance matters, and hydroelectric project licensing and compliance matters under Part I of the Federal Power Act
