Overview
Richard (Rick) Mitchell collaborates closely with the Firm’s international Corporate, Finance and Restructuring groups on international capital markets, restructuring and merger and acquisition (M&A) matters.
Rick has been involved in dozens of high yield new issues, exchange offers, consent solicitations, restructurings and other transactions in the United States, throughout Europe and around the world. Rick advises issuers, initial purchasers, creditors and investors on trading, covenant compliance and disclosure, particularly in the refinancing, liability management and M&A context. Rick has been particularly active in high yield restructuring situations in Europe.
Rick’s capital markets experience is similarly deep and longstanding. He advises on public and private offerings, placings and flotations in Europe, the United States and elsewhere. In particular, Rick has advised on numerous AIM and Frankfurt Stock Exchange equity transactions involving US and non-US companies.
Rick has also advised widely on the US securities law aspects of public and private buyouts, acquisitions and mergers in Europe and elsewhere, both in negotiated and unsolicited contexts. His clients include funds and other investors as well as US and non-US corporates and financial intermediaries.
