Overview
Mark Patterson focuses his practice on a variety of real estate and real estate finance matters – from origination and securitization to loan workouts, receiverships and foreclosures – encompassing all phases of commercial real estate capital markets transactions.
Mark’s representative clients include developers, lenders, master and special servicers and investors, as well as other participants in the CMBS, CLO and structured finance markets and related loan workout environments. Mark works closely with and provides support in connection with the transition of defaulted commercial real estate projects into bankruptcy and litigation.
Results
- Counseled various securitized business trusts (REMICs) and foreign/QRSs in collateralized loan obligation structures (CLOs), both participated and unparticipated, through their special servicers in unrelated commercial real estate loan workouts involving the following representative matters
- Foreclosure of nondebtor TIC entities’ interests in properties located in Texas and California*
- Sophisticated mezzanine and A/B note structures with highly negotiated intercreditor and co-lending arrangements*
- Receiverships over unique properties under special circumstances in advance of foreclosure, including hotels*
- Represented investor in creation of a multi-property holding company structure for future acquisition, development, and operation of multi-family micro-units / micro-apartments, involving structuring issues under the Investment Company Act of 1940 Act and Investment Advisers Act of 1940*
- Advised on senior and mezzanine loan structures in all aspects of construction financing of real estate projects in the Dallas central business district and other locations throughout the country*
- Counseled REIT in acquisition of a large office building in downtown Dallas, involving complicated and innovative master lease financing and documentation of parking rights*
- Counseled on a large acquisition of developable land in Collin County, involving the negotiation and drafting of development agreements, reciprocal easements, declaration of restrictive covenants and other similar real estate contracts and agreements*
- Counseled lenders and investors in EB-5 funded real estate projects*
