Overview
Jace Vining focuses his practice on outsourcing and technology transactional matters. He has substantial expertise in the negotiation and drafting of technology development and licensing agreements, outsourcing arrangements (including information technology and business process services), cloud computing agreements and master services agreements in a variety of industries. Jace negotiates and advises on several global services and partnership agreements on behalf of publicly-traded companies and private equity firms.
Jace also advises clients on technology related aspects of mergers and acquisitions.
To meet the needs of clients’ outsourcing challenges, Jace and a team of outsourcing lawyers have designed a downloadable master outsourcing service agreement (MOSA) for US law and certain international jurisdictions.
While in law school, Jace served as a staff member of the Wake Forest Journal of Business and Intellectual Property Law.
Results
- Represented a private equity firm with $60 billion in assets under management in the negotiation of thousands of commercial vendor contracts, including financial advisor agreements with major investment banks, transaction sourcing agreements, audit services agreements, environmental and legal advisor agreements, brokerage agreements, procurement agreements, software license agreements, equipment lease agreements, nondisclosure agreements, and a variety of other consulting agreements in other markets*
- Represented a senior director at a private equity firm in private investment restructuring matter*
- Represented a physician group providing services in Georgia in $20 million sale of its practice*
- Negotiated a multimillion dollar master agreement with international customer support staffing company, including managing related internal end user privacy review and incorporation of data processing addendum and coordinating data security team vendor audit*
- Represented an investor group in $40 million sale of cementing company to Boston-based private equity firm*
- Represented private equity firm in negotiation of Global Master Services Agreements with Big 4 accounting firms governing accounting, FCPA, market, due diligence and tax services engagements worldwide, within the ambit of which services worth tens of millions of dollars are provided annually*
- As in-house counsel, represented a technology company in negotiation of a multimillion dollar sponsorship arrangement with a top level football club and its sister franchises, including digital marketing, media production, player partnership, stadium promotion, sweepstakes and onsite event brand activation elements*
- As in-house counsel, represented a technology company in negotiating talent agreement with chart-topping recording artist for performance and related promotion in connection with nationwide contest. Structured and developed rules and advised on related FTC and intellectual property issues*
- Represented a private equity firm in drafting and negotiating over a dozen senior advisor agreements pursuant to which former Fortune 500 executives provide advice to the firm’s emerging markets investment platforms and assistance with building key business and political relationships in those markets, as well as advice and board service to the firm’s portfolio companies. Drafted and negotiated complex compensation arrangements in connection with each, involving multiple tiered contingencies and staggered co-invest rights*
- As in-house counsel, developed and led execution of technology company’s app store enforcement efforts, resulting in the successful removal of hundreds of infringing applications. Responsible for developing overall enforcement strategy, and allocating limited vendor resources to priority enforcement targets. Drafted and revised store complaints and oversaw negotiations to alter app elements to remove infringing material*
