Overview
Marta Wrobel advises clients on a range of cross-border corporate transactions, with a particular focus on the energy sector. She has experience advising on share and asset acquisitions and divestments, corporate reorganisations, corporate finance, joint ventures, due diligence and complex commercial contracts. Her work highlights include matters relating to oil and gas projects across Europe and Africa.
In her practice, Marta focuses on emerging markets, and she also has experience on cross border impact finance transactions. She worked with the British Asian Trust on the Skills India Impact Bond.
Prior to joining McDermott, Marta was a part of an AIM-listed independent oil and gas exploration and production company, where she advised on various corporate transactions and governance and compliance issues, giving her a breadth of hands-on experience and commercial exposure.

- Advised a fund on the proposed acquisition of interests in Guyana.
- Advised Tende Energy Plc on the acquisition of interests in Angola.
- Advised Tende Energy Plc on the acquisition of interests in respect of OML 65, Nigeria.
- Advised Wentworth Resources plc on the acquisition of oil and gas interests in the Ruvuma Field, Tanzania.
- Advised an independent oil and gas company in relation to claims against an operator of assets in the Democratic Republic of Congo.
- Advised Praxair, Inc. in the USD 3.3 billion divestment of North American and South American assets by Praxair, Inc. and Linde AG to Messer and CVC Capital Partners Fund VII. The divestments were subject to regulatory approvals and required for the consummation of the USD 90 billion Praxair-Linde merger*
- Advised on the EUR 5 billion divestment of the majority of Praxair’s businesses in Europe to Taiyo Nippon Sanso Corporation, a company listed on the Tokyo Stock Exchange and majority owned by Mitsubishi Chemical Holdings Corporation*
- Advised Innovative International Acquisition Corp., a NASDAQ-listed SPAC, in its definitive merger agreement with Zoomcar, the world’s largest emerging market focused car sharing platform.
- Advised Actuant Corporation on the sale of its business across five different jurisdictions and a simultaneous acquisition of a provider of industrial and energy maintenance tools and service.
- Advised BlueGem Capital Partners, a European mid-market private equity firm on the debt and equity restructuring of Jack Wills, well-known British lifestyle and fashion brand and the subsequent sale to Sports Direct.
- Advised BlueGem Capital Partners on the refinancing of the acquisition of the QMS Group by BlueGem Capital Partners.
- Advised the British Asian Trust in relation to the design and structuring of the first of its kind impact bond for improving the skills of young Indians and addressing the youth employment crisis, specifically that for young women.
