William (Billy) Hutchens focuses his practice on mergers and acquisitions, and general corporate matters. He represents domestic and international financial and strategic buyers, sellers and investors in connection with public and private mergers, acquisitions, divestitures, joint ventures, venture capital and other private equity investments, corporate restructurings, recapitalizations, and similar transactions. Billy also regularly advises on a variety of general corporate matters, including organizational matters, corporate governance, equity incentive matters and commercial contracts.
Billy’s transaction experience spans multiple industries, including private equity, venture capital, search funds, internet technology and software development, technology infrastructure solutions, life sciences, pharmaceuticals, healthcare services, aerospace and defense, telecommunications, insurance, food and beverage, gaming/entertainment, sporting products, waste management and oil processing, chemicals, logistics services, industrial supply, manufacturing, mining, horticulture and railcar services.

- Represented The HEICO Companies, LLC, a diversified holding company, in its acquisition of Kinedyne Corporation, a leading manufacturer and distributor of cargo control products, as well as Kinedyne Corporation’s Canadian, Mexican and Chinese affiliates and subsidiaries
- Represented Baxter International, Inc. (NYSE: BAX), a global leader in medical devices and bioscience products, in its acquisition of Chatham Therapeutics, LLC, a clinical development-stage biotechnology company, for an upfront payment of $70 million, plus additional contingent consideration payable upon achievement of certain milestones
- Represented Mitsui & Co. (USA), Inc., a US subsidiary of the diversified Japanese general trading company Mitsui & Co., Ltd. (TYO: 8031), in its investment in Sanderling Renal Services, a provider of dialysis and renal services
- Represented Kingsway Financial Services, Inc. (NYSE: KFS), a holding company with subsidiaries primarily engaged in the property and casualty insurance business, in the sale of Assigned Risk Solutions, Ltd. to National General Holdings Corp. (NASDAQ: NGHC) for $47 million
