Michael Peregrine called it “a significant development” and “a big deal – it is not business as usual” that the Department of Justice expects companies charged with corporate misconduct to identify and hand over responsible executives to prosecutors. Mr. Peregrine urged companies and their boards to evaluate compliance programs and “kick the tires” on indemnification policies for directors and officers. “Boards have to react,” he said. “It goes directly to their fiduciary duties.”
