Michael Peregrine said that the “biggest challenge” 13 years after the Sarbanes-Oxley Act was passed is whether today’s board members, executives and general counsel truly understand the Act’s implications. For example, Mr. Peregrine continued, “The general counsel must have an important hierarchical position in the organization and must be treated that way. Old school CEOs didn’t always want general counsel to have access to the board. And that was a clear mandate of [Sarbanes-Oxley].”
