PARIS (20th December 2017) – International law firm McDermott Will & Emery has advised the management team of Organic Alliance (formerly ProNatura) the French wholesaler of fresh organic produce, on its takeover by Cerea Partenaire. Cerea Partenaire has acquired the firm from Organic Alliance’s majority shareholder Naxicap Partners.
Naxicap Partners acquired Organic Alliance, then known as Pronatura, in 2014 through a leveraged buy-out by Lionel Wolberg
The sale of Organic Alliance saw Lionel Wolberg and his team reinvest significantly alongside Cerea Partenaire, the new majority shareholder, and Naxicap Partners, which is reinvesting a minority stake. The financing of the operation was provided by Cerea Mezzanine and Idinvest Partners through unitranche financing.
