Raffi Teperdjian advises clients on complex corporate and technology transactions, with an emphasis on emerging technologies such as blockchain and artificial intelligence (AI). His practice encompasses drafting and negotiating various sophisticated agreements, including service agreements, intercompany agreements, user agreements, terms of service, and market-making agreements. He also provides strategic counsel on regulatory matters involving token launches and innovative crypto-based products and services.
In addition to his practice at McDermott Will & Schulte, Raffi is an adjunct professor at The George Washington University Law School, where he teaches Artificial Intelligence Law and Policy. He regularly researches, publishes, and presents on emerging technologies and their intersection with the law, contributing to thought leadership in areas such as blockchain, AI, data privacy, and cybersecurity.
Raffi has deep experience advising on systems development and big data analytics projects across federal and commercial sectors, guiding clients through complex regulatory and transactional issues.
Prior to joining McDermott Will & Schulte, Raffi served as senior counsel at an open-source research and development lab. In this role, he handled investment and deal structuring, treasury management, regulatory compliance, venture capital financing, corporate restructuring and spinouts, asset-based lending, and related compliance matters for FinTech, Web3, blockchain, and other technology-driven enterprises. His work encompassed drafting and reviewing key corporate and transactional documents, including certificates of formation, operating agreements, voting agreements, term sheets, stock purchase agreements, intellectual property transfer agreements, derivatives trading agreements, asset-based lending arrangements, and simple agreements for future equity (SAFEs). He has also advised technology companies on strategic intellectual property transactions, data management, privacy compliance, and cybersecurity issues.
