Focuses on the structuring, formation and operation of private equity funds, including buyout funds, venture capital funds, secondaries funds and real estate funds.

In addition to advising fund sponsors with respect to their operational needs, including management arrangements, succession planning and certain regulatory and compliance matters, Shawn represents sponsors in connection with their capital call borrowing facilities, co-investment vehicles, joint ventures, and investments in, and dispositions of, portfolio companies.

He has extensive experience representing a wide variety of fund sponsors and institutional investors across a variety of asset classes.

• Advises sponsors of private equity funds regarding structure, formation, marketing and ongoing operational issues and transactional matters across a variety of asset classes.
• Advises sponsors regarding incentive compensation arrangements, including carry-sharing arrangements.
• Advises sponsors and investors with respect to regulatory and compliance issues, including general securities laws matters.
