Overview
McDermott Will & Emery advised Joh. Berenberg Gossler & Co. KG (Berenberg) as Sole Global Coordinator and Sole Bookrunner on a capital increase of VARTA AG from authorized capital in the amount of EUR 104 million.
A total of 2,221,686 new shares at a price of EUR 46.70 per share were placed with institutional investors as part of an international private placement by means of an accelerated bookbuilding procedure. The new shares are fully entitled to dividends for the 2019 financial year and carry the same rights as the existing shares.
The capital increase serves to expand the production capacity for rechargeable lithium-ion cells. The placement of the new shares today took place at no discount to the XETRA closing price of the previous day.
The McDermott team was led by Simon M. Weiß and comprised partners Joseph W. Marx, Ted Laurenson and counsel Maximilian Clostermeyer as well as associate Anna Steudner.
