SEC Proposes Pay-Versus-Performance Rule


Andrew Liazos said of an SEC proposal requiring public companies to detail the relationship between executive compensation and financial performance, “How big an influence this will be, particularly in terms of how executive compensation is structured going forward, remains to be seen.” Mr. Liazos predicted objections to the proposed rule, reflecting “a tension between those who want uniformity and comparability of pay-and-performance information and those who want to tell what drove their pay for performance” in their own way.
