Rachel Kelly brings 30 years’ experience at major international law firms in London and Paris covering the full spectrum of structured finance and debt capital markets transactions, public and private, national and international. She represents and advises all market participants, including lenders, arrangers, originators, borrowers, servicers, issuers, investment managers, funds and bondholders.
In particular, Rachel’s practice focuses on securitisations and other structured financings, covering all business sectors and across all major asset classes, with particular skill in commercial and residential real estate, infrastructure and warehouse financing, as well as collateralised loan obligations, collateralised debt obligations, credit funds and other structured products. She handles portfolio purchases and sales, including of distressed assets and non-performing loans, and has a wealth of experience in restructurings and liability management, including strategic advisory work, unwinds, refinancings, consent solicitations, bond buy-backs, exchange offers, tender offers and bondholder meetings. She also advises on debt capital markets instruments generally, including bonds, medium term notes, commercial paper, high yield bonds, exchangeable and convertible bonds and credit and index-linked notes.

Represented the Canary Wharf Group in connection with a complex £200 million loan facility (including related intercreditor issues) provided by the Home and Communities Agency (HCA) for essential infrastructure in connection with the development of the 4.9 million m² Wood Wharf site, immediately to the east of the existing Canary Wharf estate*
Represented the Canary Wharf Group in connection with its acquisition for £128 million of 15 Westferry Circus, together with the novation of an existing senior swap*
Advised a corporate issuer in relation to a complex U.S.$250,000,000 bondholder consent solicitation process*
