Agata’s activity is particularly focused to mergers and acquisition, placement of financial instruments, also on regulated market, and public offer and subsequent reorganization and corporate restructuring of the target company. She also advises listed and unlisted companies, in all aspects of corporate governance, with particular reference to the relationship between shareholders, systems of administration and control, identification and treatment of corporate organizational structures, to the adoption of governance structures according to the Corporate Governance Code of Borsa Italiana, and international practice.
Advised a leading funds and its Italian arm, focused on investments in Italian corporate credit opportunities, in connection with the acquisition, through a dedicated investment platform, of an UTPs portfolio to be further securitized
Advised: (i) the managers of a leading pan-European environmental growth investor, in connection with the setting-up of a company incorporated by and among said managers with the purpose of investing – by subscribing units – in the AIFs established; and (ii) such company in connection with the structuring and negotiation of a term loan facility granted by a primary Italian credit institution
