  • Represented Kayne Anderson Funds in sale of Silver Hill to RSP for value in excess of $2 billion dollars
  • Represented a joint venture company between Kayne Anderson Funds and Warburg Pincus Funds for formation of Terra Energy Partners and its $910 million acquisition of rocky mountain assets of WPX
  • Represented a Chinese investment consortium in its $1.2 billion acquisition of oil and gas assets in the Permian Basin from two private equity-backed companies
  • Represented a majority investor in negotiation of joint venture to acquire existing assets and develop methanol plant in Louisiana with value in excess of $1 billion
  • Represented Royal Vopak and BlackRock’s Global Energy & Power Infrastructure Fund in the formation of a joint venture, Vopak Industrial Infrastructure Americas, LLC (VIIA), and then in VIIA’s subsequent purchase of three of The Dow Chemical Company’s chemical storage terminals on the US Gulf Coast for $620 million
  • Represented Ridgemont Equity Partners in its joint venture investment with Denham Capital Management and the Ontario Power Generation Inc. Pension Plan to back White Water Midstream, MPLX LP and West Texas Gas, Inc. to provide natural gas liquids (NGLs) takeaway capacity from MPLX and WTG gas processing plants in the Permian Basin to the NGL fractionation hub in Sweeny, Texas
  • Represented a large independent exploration and production company in the conveyance of a water gathering system, water treatment facilities and fresh water wells in the Permian Basin to its midstream affiliates and the drafting and negotiation of the related produced water gathering agreement and water distribution services agreement
  • Represented Furie Operating Alaska, an upstream oil & gas company, in its Chapter 11 bankruptcy proceedings
  • Represented Irving Oil Limited in several significant matters:
    • Its acquisition of Phillips 66 Company’s Whitegate oil refinery located in Cork, Ireland—the only refinery in the country
    • The formation of a joint venture with TransCanada Pipelines to develop, construct and operate $300 million Canaport Energy East Marine Terminal at Irving Canaport in Saint John, New Brunswick
    • In connection with all aspects of an initiative to purchase crude oil from the Bakken formation and Western Canada and the transport of such crude oil by rail to refining and storage facilities
    • The formation of a joint venture with Repsol YPF, S.A. The joint venture, Canaport LNG Limited Partnership, developed a liquefied natural gas (LNG) import and regasification terminal at Irving’s Canaport facility in Saint John, New Brunswick, Canada—the first of its kind to be built on the east coast of North America in 30 years and the first ever to be built in Canada
