Individual liability exposure and the scope of D&O coverage are a matters of fundamental concern to the health care director. And with the increasing complexity of the board agenda, there are many stakeholders with direct interest in whether board members are doing their job properly. This is especially the case with emerging challenges relating to cybersecurity. Effective and committed boards deserve adequate D&O coverage—and they also deserve to understand the exceptions to that coverage.
