Michael Peregrine and Stephen Wu wrote this bylined article on the “over-disclosing” antitrust compliance risks facing large nonprofit hospital systems that communicate with public bondholders. The authors wrote that, given increased antitrust enforcement, “investor communications could be construed (fairly or unfairly) as unfair methods of competition or actual collusion,” especially if the health system leaders know that competitors can access the communication.
