A continuing, sensitive responsibility of the general counsel is supporting the directors and officers’ conflicts of interest disclosure and resolution process. This responsibility is made particularly challenging because the conflicts analysis resembles a “puzzle” of multiple different legal factors that must be carefully “assembled” before reaching a conclusion.
