McDermott Advises AREV on its Acquisition of a Majority Stake in Komposite

McDermott Will & Emery has advised AREV, a specialist in European private equity investments, on its acquisition of a majority stake in Komposite, one of France’s leading data management specialists, alongside its management.

The aim of this operation is to support Komposite in its next phase of growth, notably by strengthening its position as technological leader and focusing its development plan on acquiring new customers, through organic and external growth.

Backed by Naxicap (formerly Alliance Entreprendre), BNP Paribas Développement, Rives Croissance, Caisse d’Epargne Ile de France and Financière Vecteur since 2020, AREV succeeds these funds as majority shareholder, while Eric Alimi, Harry Zarrouk and David Dariouch reinvest and retain a significant stake in the company.

The McDermott team that advised Arev included :

  • Guillaume Kellner (partner), Stanislas Offroy and Auriane Tournay (associates) on the corporate aspects of the transaction;
  • Pierre-Arnoux Mayoly (partner), Elisabeth Amzallag and Salomé Belhassen (associates) on financing;
  • Antoine Vergnat (partner) and Paul-Henry de Laguiche (associate) on tax law;
  • Naré Arshakyan (associate) in employment law.
