McDermott Represents AdTheorent in its Sale to Cadent

International law firm McDermott Will & Emery represented AdTheorent Holding Company, Inc. (AdTheorent), a machine-learning pioneer in the digital advertising space, in its sale to Cadent, one of the largest independent solutions providers for converged television (TV) advertising. The combination will create an omnichannel audience activation platform for both buyers and sellers of advertising and provide performance advertising solutions that cater to both digital and traditional TV markets.

AdTheorent is a portfolio company of H.I.G. Growth Partners, LLC (H.I.G.) and McDermott represented AdTheorent in its sale to H.I.G. in 2017. H.I.G. took AdTheorent public via a SPAC in 2021 and still owns 37% of AdTheorent’s common stock today. Under the terms of the merger agreement, AdTheorent’s common stockholders will receive cash consideration of $3.21 per share. The transaction is expected to be completed by the third quarter of 2024 and is subject to customary closing conditions.
