Nathan L. Mihalik advises public and private companies, as well as private equity funds and other financial sponsors, in a variety of complex transactions, including mergers and acquisitions, divestitures, joint ventures, strategic investments and alliances, carve-outs, recapitalizations, “going private” transactions and special committee representations. Nathan also has extensive experience advising public companies on corporate governance and securities matters and sophisticated commercial arrangements.

  • Advised Aaron’s Holdings Company, Inc. in the public company spin-off of its Aaron’s Business segment *
  • Represented Total System Services in numerous transactions including:
    • A $54 billion merger of equals with Global Payments*
    • The acquisition and related financing of Netspend, a company focused on the reloadable prepaid card market for underbanked consumers, for $1.4 billion*
    • The acquisition of TransFirst for $2.35 billion*
  • Represented American First Finance Inc. in its $1.47 billion sale to FirstCash Inc.*
