Nathan L. Mihalik advises public and private companies, as well as private equity funds and other financial sponsors, in a variety of complex transactions, including mergers and acquisitions, divestitures, joint ventures, strategic investments and alliances, carve-outs, recapitalizations, “going private” transactions and special committee representations. Nathan also has extensive experience advising public companies on corporate governance and securities matters and sophisticated commercial arrangements.

- The acquisition and related financing of Netspend, a company focused on the reloadable prepaid card market for underbanked consumers, for $1.4 billion*

Represented American First Finance Inc. in its $1.47 billion sale to FirstCash Inc.*

Represented ConocoPhillips, a large stockholder, in connection with the “UP-C” IPO of Aris Water Solutions*
Represented Belk, Inc. in its sale $3.0 billion sale to an affiliate of Sycamore Partners*
Represented Transocean in its $3.4 billion cross border acquisition of Songa Offshore and $2.7 billion acquisition of Ocean Rig*
