Überblick

International law firm McDermott Will & Schulte represented ContextLogic Holdings Inc. (OTCQB: LOGC), (ContextLogic), a publicly-traded business ownership platform, in the pending acquisition of US Salt Parent Holdings, LLC (US Salt), a fully integrated producer of high-purity evaporated salt products. The acquisition, from private equity funds managed by Emerald Lake Capital Management, values US Salt at an enterprise value of $907.5 million.

Investment funds advised by Abrams Capital will roll over substantially all of its equity investment and, together with existing ContextLogic investor BC Partners, agreed to fully backstop an expected registered rights offering to ContextLogic’s existing shareholders. The transaction represents a foundational step in ContextLogic’s transformation into a business ownership platform designed from the first principles around a true ownership mindset.

The McDermott team was led by Ele Klein, David Curtiss and Heidi Steele with invaluable assistance from Ellen Snare, Joe Reich, Ian Levin, Abigail Kagan, Christopher Foster, William Hutchens, Nate Barnett, Joanna Lin, Kate Williams, Julian Wise, Ted Keyes, Scott Kareff, Katy Linsky, Paul Gadiock, Greg Heltzer, Christopher Lahiff, Ty Carson, Adam Gartner, Joseph Valerio, Jenna Young, Will Orner, Jay Lee, Chanel Ricks, Crystal Mor Henwood, Drew Montemarano, Jesse Douglas, Joshua Jacobs, Hannah Hollingsworth, Steven Appel, Dan O’Neil, Lance Kodish, Trey VanWieren, Maddie San Jose, Marissa Hill Daley, and Henry Fisher.
