Overview
Advising on a wide range of transactional and regulatory matters, Rebecca (Becca) Waltuch counsels hospitals, health systems, accountable care organizations (ACOs) and other healthcare clients through complex operational and contracting matters, including multi-state physician practice acquisitions, joint ventures and provider employment agreements. Becca advises clients on structuring transactions and navigating any health regulatory issues that arise in such transactions. Becca is also experienced in addressing the legal issues that arise in establishing or restructuring physician network affiliations, value-based payment models and managed-care contracting.
Becca leverages her prior experience as in-house counsel to a large ACO and community hospital network to provide her clients with insights that meet both business and patient needs. She is particularly experienced in addressing the challenges that can arise concerning provider contracting for large managed care organizations and the operational issues that can arise during physician practice acquisitions.
Results
- Serves as the lead lawyer for a large hospital system in the sale and acquisition of physician practices.
- Counsels on all regulatory and transactional aspects of multiple community hospital acquisitions and strategic affiliation deals in the for-profit and nonprofit sectors.
- Advised a large health system on the formation and operation of a Next Gen ACO, a MSSP ACO and a Medicaid ACO, including the preparation of certain fraud and abuse waivers.
- Guides clients with voluntary self-disclosures, including submissions under the Centers for Medicare and Medicaid Services (CMS) Self-Referral (Stark) Disclosure Protocol (SRDP).
- Drafted template agreements for a multi-state physician network, national health system and academic medical center, including participation agreements, employment agreements and professional services agreements. These templates were used by the client during expansion of its business operations to streamline operations and mitigate compliance risks.
- Advised non-profit health systems with the review of key payor agreements, prepared issues lists and a master “PADU” document and template participation agreements. This type of targeted review surfaces key issues and the resulting work product is a tool that client(s) can use going forward to assist with payor negotiations.
- Counseled clients in responding to government investigations and conducting internal investigations into regulatory compliance matters.
- Guided a large health system through a data breach investigation and negotiation of a settlement with the US Department of Health and Human Services Office for Civil Rights.
