Overview
Shawn C. Helms is co-head of the Firm’s Technology & Outsourcing Practice. Shawn has broad experience in the areas of information technology, outsourcing, blockchain, artificial intelligence (AI), digital health and telecommunications. He focuses his practice on complex transactions involving technology and intellectual property, including information technology outsourcing (ITO), business process outsourcing (BPO), licensing, cloud computing arrangements (IaaS, SaaS and PaaS), technology maintenance and services, technology development/customization (including iPhone and Android), wireless infrastructure, AI, robotic process automation (RPA), social media issues, strategic alliances, e-commerce, internet of things (IoT), confidentiality, strategic sourcing and data security/privacy. He has considerable experience in blockchain and cryptocurrency matters including NFTs, DAOs, and enterprise blockchain applications. Shawn also regularly works on digital health matters involving wearables, data licensing and strategy issues, AI and mobile applications. He also advises clients on IT and IP diligence, transition services agreements (TSAs) and other technology and intellectual property matters relating to the acquisition or divestiture of businesses. Shawn also has significant experience in advising clients through software audits and related negotiations and settlements, open source software issues and software escrow matters. Shawn has worked with clients in connection with issues utilizing ChatGPT and other generative AI.
Shawn has written widely on the topics of technology and outsourcing. Shawn is the co-author of a legal treatise on outsourcing law, Outsourcing Law and Business published by Law Journal Press (the treatise publishing arm of American Lawyer Media). It is the only comprehensive treatise on outsourcing law. This treatise gives detailed treatment to all material legal and business issues associated with outsourcing transactions. The treatise also covers changes in the outsourcing industry (e.g., RPA, cloud computing and smaller transactions) and suggests new tools and a modern approach for dealing with these changes. Shawn is also the co-author of a Bloomberg BNA portfolio titled “Technology and Outsourcing.”
Previously, Shawn was a partner at an international law firm, in-house counsel at T-Mobile/Sprint and the director of information technology at Williams & Connolly. Shawn earned three bachelor’s degrees in computer systems, business administration and economics.

Information Technology Outsourcing
- Represented Finnair in a long-term, full-scope information technology outsourcing transaction with IBM whose scope encompassed all of the airline’s information technology (IT) functions, including infrastructure, server and workstation management, print, network (local area network (LAN) & wide area network (WAN)), application development and maintenance, service desk, enterprise platforms, cloud and cloud orchestration and service integration and management (SIAM)
- Represented Monsanto in three major IT outsourcing transactions including (1) a global data center deal, (2) a helpdesk services deal and (3) an applications development and maintenance transaction
- Represented Nokia Corporation in two large IT outsourcing transactions: a global, full-scale IT outsourcing deal with HCL covering end user services, including service desk, on-site support, workstation management and end point security; and a long-term service agreement with VeriSign establishing a global managed security services solution, covering security event management, vulnerability scanning, threat analysis and other data security services
- Represented Spirit Aerosystems in a global print services deal with Lexmark to supply, implement and maintain print devices for the company worldwide
- Represented a European joint venture in an IT outsourcing agreement with a related entity; the transaction was a six-year, full-scale, global IT outsourcing agreement covering user care, back office, client system, data center and local area network services with a total deal value of well over $1 billion
- Represented HCL in the negotiation and implementation of a collaboration agreement with CSC, resulting in a strategic alliance to jointly provide private-cloud, public-cloud and hybrid-cloud services to outsourcing customers
- Represented EDS in the negotiation of a seven-year information technology outsourcing transaction with a global engineering, consulting and construction company
- Represented a leading chemicals company in its full-scale outsourcing of the company’s IT functions to Wipro; the scope included infrastructure, server support, desktop support, applications and help desk in all of the client’s corporate and operational offices worldwide (more than 60 countries)
- Represented Sprint Corporation in two application, development and maintenance deals with IBM and EDS
- Represented ISG in the re-formulation of their form documents and intellectual property
Business Process Outsourcing
- Represented a leading financial institution in a loan processing outsourcing transaction with a leading India-based BPO provider
- Represented a leading mortgage company in a BPO transaction with a global outsourcing provider to provide various mortgage processing and verification services in a transaction that included scanning, image indexing and processing, data entry, data review and verification
- Represented Mitsubishi Heavy Industries in its business process outsourcing transaction with Genpact that resulted in a captive organization providing various finance and accounting services to Mitsubishi’s various subsidiaries around the world
- Represented a consumer packaging company in the negotiation of its business process outsourcing arrangement with a leading BPO provider to provide a broad range of finance and accounting (F&A) services encompassing the majority of the customer accounting functions
- Represented CoreLogic in a BPO transaction with TCS, whereby TCS will provide data entry, verification and reporting services
- Represented Sprint Corporation in a finance and accounting (accounts payable) business process outsourcing deal with ACS, and in a call center transaction with IBM
- Represented Nikon in a global finance and accounting business process outsourcing transaction with WNS. This deal involved a US/global implementation and a follow-on European rollout
- Represented Republic Services in a finance and accounting business process outsourcing transaction with Capgemini. This was the first large outsourcing project undertaken by Republic
Telecommunications Transactions
- Represented Nokia Corporation in a full-scope, global voice and data deal with Telefónica in the largest telecommunications deal in Europe in 2015
- Represented Sprint Corporation in its acquisition of next generation wireless infrastructure equipment used to upgrade its nationwide wireless network in a transaction that involved the purchase of equipment and implementation services from three world leading wireless telecommunications equipment providers; the project includes the purchase of multi-modal base stations capable of supporting advanced 4G long-term evolution (LTE) wireless technologies
- Represents a leading wireline telecommunications equipment company in a global telecommunications deal (wireline, wireless voice and data) with a US-based telecommunications provider
- Representing Orange Business Services in a network management outsourcing transaction of its customer facing network
- Represented Pier 1 Imports in its nationwide telecommunications and data deal with AT&T
- Represented Finnair in its procurement and implementation of equipment and ongoing services to enable Wi-Fi internet access in Finnair’s fleet of aircrafts
- Represented Alcatel-Lucent in several network management outsourcing transactions
- Represented Vinli in a machine to machine (M2M) wireless data deal with T-Mobile; under the terms of this deal, T-Mobile will provide wireless services to the Vinli device that will enable almost any vehicle to become a “connected car” (featuring an apps platform and a Wi-Fi hot spot)
- Represented Diversey in several telecommunication-related transactions, including a wireline telecommunications services transaction with Verizon, a voice over internet protocol (VoIP) equipment purchase and services transaction with Avaya and an equipment purchase with Cisco
Technology Transactions
- Represented Amadeus, one of the top ten travel technology companies in the world, in an agreement with Marriott International to deploy the Amadeus Central Reservations System to modernize Marriott’s reservation infrastructure in the coming years
- Represented a leading outsourcing provider in a software resale transaction surpassing $100 million
- Represented Commerce Bank in their contract to purchase and implement of a new core banking system from Temenos. The core banking system will replace an aging system and will serve as the brain of the bank, managing all deposits and the majority of Commerce’s banking activities
- Represented Attachmate in its multibillion-dollar acquisition of Novell and the related sale and license back of Novell patents to a consortium of the world’s largest software companies, including Microsoft, Oracle, Apple and EMC
- Advised a communications and health care services company in its joint venture to develop cloud-computing based medical image management solutions to one of the leading US health care institutions
- Served as primary outside counsel for a Boston-based software company that provides industry leading software to large financial institutions representing the company in its customer contracts and procurement transactions
- Represented a small software company in its agreement with Intel to provide wireless connection management services for Intel’s next generation mobile chipset to be utilized in smartphones, tablet personal computers (PCs), netbooks and other mobile devices
- Advised Texas Instruments in connection with its $6.5 billion acquisition of a semiconductor company
- Represented Infinite Computer Solutions in a transition that resulted in Infinite taking over the development, maintenance and support of a Motorola short message service (SMS) and multimedia messaging service (MMS) solution
- Advised a leading health care provider in the acquisition and licensing of an electronic medical records system for its inpatient and ambulatory facilities
