Overview
Daniel (Dan) Woodard counsels public and private companies on raising capital, corporate governance and general corporate matters. He focuses his practice on representing private and public companies in all aspects of public and private securities offerings, public company reporting and disclosure compliance and stock exchange-listing compliance. He also advises fintech companies with regard to the application of securities laws to blockchain and cryptocurrency assets.

- Represented Tether, the issuer of the world’s largest stablecoin, in:
- Its tender offer and acquisition of a 70% interest in Adecoagro S.A. (NYSE: AGRO), a leading sustainable production company in South America, for approximately $615.5 million
- Its $775 million strategic private investment in public equity (PIPE) investment in Rumble (NASDAQ: RUM), a leading video sharing platform and cloud services provider
- Represented AirSculpt Technologies, Inc. (NASDAQ: AIRS), a national provider of body contouring procedures under the brand Elite Body Sculpture, and AirSculpt’s majority stockholder Vesey Street Capital Partners in AirSculpt’s $90 million initial public offering
- Represented INX Limited, a security token and digital asset trading platform, US broker-dealer, alternative trading system, and transfer agent, in its $85 million registered offering of the INX Token, which was the first public offering of a security token registered with the US Securities and Exchange Commission
