Overview
International law firm McDermott Will & Schulte represented GoodLeap, LLC (GoodLeap), a technology company delivering best-in-class financing and software products for residential solar energy and other sustainable solutions, in the closing of a $183.3 million securitization offering issued by an affiliate of Tactical Infrastructure Partners (TIP), a global independent infrastructure investment firm. The securitization was backed exclusively by leases and power purchase agreements for residential solar and battery storage systems originated through GoodLeap’s platform. ATLAS SP Securities served as sole structuring agent.
Traditional securitizations of third-party owned solar and battery assets have been raised against originator-side cash flows, whereas this back-leverage securitization was raised against investor-side cash flows, providing unique advantages for noteholders. The securitization provides permanent financing on cashflows from residential solar assets previously invested in by TIP in collaboration with GoodLeap.
McDermott previously advised GoodLeap in the establishment of the $1.5 billion strategic partnership between GoodLeap and TIP to acquire residential solar and storage products.
