Overview
Raja Chatterjee focuses his practice on technology transactions, outsourcing, intellectual property (IP) licensing, and other commercial transaction matters. In the outsourcing space, he represents both providers and customers in information technology and business process outsourcing transactions. He also counsels clients in a wide variety of technology transactions, including software-as-a-service (SaaS) arrangements, cloud computing and other “as a service” arrangements, software licenses, technology development and licensing agreements, collaboration agreements, e-commerce arrangements, artificial intelligence (AI) integration arrangements, technology maintenance, and service agreements.
Additionally, Raja advises clients on strategic commercial transactions, including supply, manufacturing, distribution, third-party logistics, reseller, and franchise agreements. He also counsels clients on IP and commercial contract issues that arise in the context of mergers and acquisitions, including technology-related diligence, transition services agreements, and reverse-licensing agreements.

- Represented Amadeus, one of the top 10 travel technology companies in the world, in an agreement with Marriott International to deploy the Amadeus Central Reservations System to modernize Marriott’s reservation infrastructure
- Represented a leading global outsourcing service provider in multiple high-value IT and business process outsourcing transactions in the healthcare, insurance, retail, manufacturing, and banking/finance sectors, which included supporting responses to requests-for-proposals and negotiating customer, alliance, and other related agreements
- Represented a global energy management and fuel logistics company in outsourcing several accounting, financial, and revenue management services to Genpact
- Represented a leading US hospital system in outsourcing its IT infrastructure, applications development, and applications maintenance services to Accenture
- Represented a leading insurance company in outsourcing its IT and business process operations to NTT DATA
- Represented major accounting, tax, consulting, and business advisory firms in several licensing and professional services agreements with vendors
- Represented a major pharmacy and retail store chain in several IT, professional services, data, and IP licensing agreements
- Represented multiple retail, healthcare, and e-commerce clients in licensing agreements with data aggregators, data analytics companies, and data marketplaces
- Represented several electronic health record providers in negotiating collaboration, IP, and service agreements
- Represented a prominent real estate investment management company in several licensing and services agreements with vendors
- Counseled a prominent European pharmaceutical company in negotiating a collaboration and co-commercialization agreement with a prominent drug manufacturer in the United States*
- Represented a biotechnology company in the negotiation and preparation of a multijurisdictional research, commercialization, and distribution agreement*
- Represented multiple US-based restaurant franchises in the negotiation of service agreements and master services agreements in Latin America and Asia*
