Frankfurt, 8. February 2018. – International law firm McDermott Will & Emery advised TransDigm Group Inc. on all German legal questions regarding the sale of all the company’s shares of SCHROTH Safety Products GmbH as well as of SCHROTH Safety Products LLC to Munich-based Private Equity company, Perusa.
SCHROTH Safety Products is a world-leading company in the development and manufacture of passenger protection systems for special applications in aerospace, motor sport, defense, and medical transport. It consists of two business units: SCHROTH Safety Products GmbH based in Arnsberg, Germany, and SCHROTH Safety Products LLC., based in Pompano Beach, Florida.
SCHROTH specializes in technical restraint systems, passenger seat belts for all important commercial aircraft, airbags for Airbus and Boeing platforms, and cockpit safety components for the Airbus A350 and A380. SCHROTH also offers restraint systems for business jets, general aviation, helicopters, the military, and motor sports.
Perusa is an independent private equity firm which currently invests two funds with 350 million EUR equity capital in mid-sized businesses and business divisions of large companies from the German-speaking and Scandinavian world. Here, Perusa follows a strong operative approach which strengthens performance, thereby enhancing portfolio companies’ long-term appreciation potential. The firm also seeks strategic acquisitions (Buy and Build Strategy) to strengthening growth of portfolio companies.
TransDigm together with its subsidiaries is a world-leading designer, manufacturer, and supplier of sophisticated technical airplane components which are today used in almost all commercial and military aircraft.
TransDigm acquired SCHROTH in the beginning of 2017. Partner Dr. Michael Cziesla and counsel Norman Wasse were also active at that time. The transaction was signed in October of 2017, and executed in January of 2018.
