International law firm McDermott Will & Emery represented Northwell Health (Northwell), a not-for-profit hospital and health system and New York’s largest healthcare provider and private employer, in its affiliation with Nuvance Health, a not-for-profit health system comprised of seven hospitals and healthcare providers across New York’s Hudson Valley and Western Connecticut. As a result of the affiliation, Northwell Health now encompasses 28 hospitals and over 1,000 healthcare sites across New York and Connecticut, serving a population of more than 13 million.
The McDermott team was led by David Ivill and Charles Buck, and included Steven Schnelle, Sarah Kitchell, Jon Salm, Lisa Kaderabek, Max Lubin, and Jae Hyun Lee. Tony Maida, Drew McCormick, Sarah Reis, and Callee Donovan advised on health regulatory matters; David Wolff, Garrett Kurtzweil, and Devonna Thompson advised on real estate matters; Daniel Gottlieb and Amy Pimental advised on data privacy and HIPAA matters; Stephania Sanon and Melis Solaksubasi advised on employment and labor matters; Todd Solomon advised on employee benefits matters; Jennifer Mikulina advised on intellectual property matters; Robert Louthian advised on tax matters; and Jacob Hollinger advised on environmental matters.
The affiliation agreement was negotiated and all diligence was completed in just 3 months, a record speed for a transaction of this size and complexity. Following the affiliation agreement, a negotiated settlement agreement was reached with the State of Connecticut.
